An Overview of E3 HEALTHCARE MANAGEMENT, LLC
E3 Healthcare Management LLC ("E3") is an Ambulatory Surgery Center (ASC) Management Company focused on Experienced, Effective and Efficient healthcare. E3 has developed a strategy to create a network of high quality multi-specialty ASCs in the Greater Bay Area through the acquisition of existing surgery centers, development of new surgery centers and enhancing the performance of its existing E3 Affiliated ASCs. If desired, we also offer management services without equity ownership for ASCs that require improved operating efficiencies, increased physician participation and improved case mix and volumes.
E3 is a California Limited Liability Company owned and managed by Lawrence A. Aufmuth, Steven F. Kanter, Jay D. Pruzansky and Carole Wilson. Our preferred business structure is to form a California limited partnership which owns the ASC. E3 serves as the General Partner and invites a group of physician limited partner investors who can perform cases at the ASC to invest. E3 enters into a long term Management Agreement with each ASC thereby insuring continuity of management for the entity.
The Principals' primary business activity is to oversee the management of all aspects of ASC operations. With the strength and stability of the E3 management team, operating efficiencies are obtained by providing the following management services:
- State licensing, Medicare certification and AAAHC accreditation oversight
- Human Resources administration; clinical turnover consistently less than 4%
- Insurance Contracting to maximize reimbursement and respond to industry trends
- Physician interface and credentialing; currently over 500 physicians credentialed
- Supervision of Purchasing and vendor relations among all E3 Affiliated ASCs
- Marketing; ASC website development that links physician practices and ASC as partners
- Accounting oversight, budgeting and Accounts Receivables management

About our E3 family of dedicated employees:
E3 has developed a strong team of employees from the OR scrub nurse to the receptionist who welcomes both patient and family to our ASCs.
Employee stability is the key to building organizational knowledge, contributing to the quality of the patient experience, and providing physicians with dedicated staff familiar with all their surgical needs. The staff provides personalized, individual care with a customer service focus. The clinical staff is prepared to support all E3 affiliated ASCs as the case volumes demand, thereby minimizing our need for outside registry staff.
Campus Surgery Center, our newest ASC as of October 2006, was recently awarded one of the Bay Area’s “100 Best Places to Work!” This is a significant accomplishment and testimonial to the effective management style E3 can bring to a new ASC acquisition.

Physician Partnership and E3
E3 has a proven track record of developing strong multi-specialty professional partnerships with some of the most highly trained physicians from leading healthcare institutions in the Bay Area. These partnerships have proven to be the key factor in E3’s business success.
Each E3 Affiliated ASC is owned to a significant extent by the physicians performing cases at the ASC. Each Physician Partnership meets the safe harbor requirements for physician investors, thus allowing physicians with the opportunity to share in the facility fees generated as a result of the cases performed by all physicians.
Financial performance in 2006 for Waverley, Silicon and Bascom Surgery Centers and projections for Campus in 2007 are provided in the chart below.

“Partnershipness” is a concept E3 coined over the years. It is an important concept for a prospective investor to understand. It is a combination of those attributes of being a good partner that we seek in prospective partners and which it fosters and develops as part of its efforts to build a successful venture. Partnershipness includes such matters as courteous and constructive staff interaction, positive interface with management on all ASC matters, on-time starts, timely preparation of operative reports, efficient block utilization, attention to expense management, cooperation and assistance in scheduling cases, participation in ASC committees and meetings, and involvement in staff educational activities.
