Carole Wilson, MSN, FACHE
CEO, E3 Healthcare Management LLC
 Carole Wilson serves as Chief Executive Officer and oversees the operations at all four E3 ASCs. She received her Bachelors and Masters degrees in nursing from University of California, San Francisco. She is board certified in Healthcare Management from the American College of Healthcare Executives. Ms. Wilson has been involved in hospital and ASC management since 1986.
Steven F. Kanter, M.D.
Director, E3 Healthcare Management LLC
 Dr. Kanter is a Member of the Governing Body of all four E3 ASCs. Dr. Kanter received his M.D. from Ohio State University College of Medicine, did his anesthesiology residency at Stanford University Medical Center and is certified by the American Board of Anesthesiology. His functional areas of specialty are medical staff, financial and strategic management.
Dr. Kanter’s business experience includes providing management of medical providers, management of insurance companies and healthcare business consulting. He has owned and operated multiple ASC’s.
Jay D. Pruzansky, D.P.M, M.B.A.
Director, E3 Healthcare Management LLC.
 Jay D. Pruzansky is a Member of the Governing Body of all four E3 ASCs. Dr. Pruzansky received his D.P.M. from Pennsylvania College of Podiatric Medicine and his M.B.A. from the Leavy School of Business at Santa Clara University. His functional areas of specialty are contracting, marketing and strategic management issues.
Dr. Pruzansky previously served as part of the Health Ventures team at KPMG Peat Marwick, LLP from 1997-1998. He was Founder and CEO of one of the nation’s first single specialty Physician Practice Management Companies and has helped develop and consult on numerous freestanding ASC ventures.
Lawrence A. Aufmuth, J.D.
Director, E3 Healthcare Management LLC
 Larry Aufmuth is a Member of the Governing Body of all four E3 ASCs. Mr. Aufmuth received his J.D. from Stanford Law School. His functional areas of specialty are new business development, financing, oversight of legal matters and strategic management issues.
Mr. Aufmuth practiced law for more than 30 years advising start-up businesses, mergers and acquisitions, tax matters relating to partnerships, closely held businesses, real estate and all other forms of investment transactions.
In addition to the Principals described above, E3 has assembled a management team focused on the key areas of successful ASC management.

Kim Seitz, M.B.A.
Director of Human Resources
 Kimberly Seitz serves as the Human Resources Director for all E3 ASCs. She received her Bachelors from San Francisco State University and holds an M.B.A. in Human Resources and an M.B.A. in Marketing from Golden Gate University in San Francisco. Ms. Seitz has worked in human resources and health care management since 1980. Ms. Seitz worked for Kaiser Permanente for 22 years in various positions including ten years as a Human Resources Director and Leader. Ms. Seitz was involved in creating the human resources function for numerous high tech start-ups in the Bay Area before returning to healthcare.
Karen Jansen, B.A., C.P.C.
Director of Contracting
 Karen Jansen serves as the Director of Contracting. She received her B.A. in Management from St. Mary’s College. Ms. Jansen has worked in the managed care industry since 1986 while at Prudential Health Care as the Executive Director of Northern California. Prior to joining the ASC environment, Ms. Jansen worked at Stanford Hospital and Clinics in the Managed Care and Compliance departments. Ms. Jansen is also an R.N. and certified professional coder who has oversight of the E3 ASC compliance programs.
Mark Cogdill, M.B.A.
Controller
 Mark Cogdill is the Controller overseeing financial responsibilities for all E3 ASCs. He received his Bachelors in English Literature and his M.B.A. from Santa Clara University. Mr. Cogdill has previous experience as CFO at a multi-site $75M revenue business and as Vice President of Finance for a privately held manufacturing company. He has been working for E3 since 2004.
